Definitions

Internet Retailer is a family run business based in Albrighton, Shropshire.  We have over 20 years of combined experience in selling on-line in a range of markets including fashion, sports, aromatherapy, cross stitch and white goods. 'Internet Retailer'

Our clients include high street shops, professional couples and singles, retired folk, full time parents and students. 'shop keeper'

Our easy to use eCommerce web shops are professionally designed to work with the leading search engines and Internet browsers. 'eCommerce shop'

Terms

1. Internet Retailer provide a hosted eCommerce shops platform for shop keepers to use on a subscription basis.  Internet Retailer retain ownership of the code that makes each eCommerce shop work, and the database on which each eCommerce shop is built whilst the shop owner owns their business branding and all business data.

2. The shop owner can use Internet Retailer for as long as they maintain their monthly subscription payment and for as long as the service remains available, or cancel their subscription without notice and at any time. 

3. Internet Retailer can terminate the use of its service by any shop owner without notice, if the shop owner's business activities, public behaviour including social networking and forum contributions in any way reflect negatively on the service provided by Internet Retailer.

4. Each shop keeper agrees to indemnify Internet Retailer in purpituity against all and any losses, claims, damages and any other costs caused as a consequence of actions taken by the shop keeper for the duration of their use of any eCommerce shop hosted by Internet Retailer.

5. Internet Retailer agree to keep each shop keeper's business ideas, communications and personal details strictly confidential.  Internet Retailer are registered under the Data Protection Act 1998 and agree not to pass on any shop keeper details to any 3rd party.

6.  Shop keepers are not permitted to sell anything that is deemed illegal under United Kingdom law.

7.  The use of Internet Retailer's service by the shop owner is subject to the prompt payment of a monthly subscription.  If a shop owner fails to pay their monthly subscription when it is due, their eCommerce Shop will be suspended without notice.  Further failure to pay subscription arrears will result in the eCommerce Shop being deleted.

8.  The use of Internet Retailer's service is subject to a fair allowance policy, determined as and when reviewed by Internet Retailer.  If traffic to a shop owner's eCommerce shop exceeds reasonable bandwidth Internet Retailer will discuss with the shop owner the options for increasing monthly subscription to compensate for excessive usage of the Internet Retailer service, or other options with a clear aim of finding an amicable solution.

9.  Although Internet Retailer and its business partners back up shop keeper data on a daily basis, Internet Retailer and its business partners are not liable for any loss of data that may impact on a shop keeper's eCommerce shop or business.  For the avoidance of doubt, Internet Retailer recommends that shop keepers make a back-up of their own business data on a regular basis.

10.  Each shop keeper retains ownership of their own business data and branding, and hereby grants Internet Retailer the right to publish files, graphics and logos provided to Internet Retailer by the shop keeper.

11.  eCommerce shop purchases cancelled within 24 hours from the date of purchase will be refunded within 28 days and subject to a 5% cancellation fee to cover Internet Retailer processing costs and less the cost of any services or 3rd party purchases already made including but not limited to domain name purchase, email account purchase and commissioning of graphic design.  No refund will be made for any eCommerce shop purchased once the shop has been completed and ready to use.

12. Internet Retailer reserves the right to amend these terms without notice or liability.  Although Internet Retailer provide an excellent service designed to cater for all shop keepers, Internet Retailer cannot guarantee the availability of any part of its service that relies on the actions of a 3rd party.
